EZ Wealth ("Company", "We" or "Us" and their connotations) operates websites and mobile applications (together called the "EZ Wealth Platform" or "Platform"). Our Platform is primarily engaged in the service of offering an online platform for carrying out trade transactions that collect personal data or information to process Users' financial and non-financial transaction requests.

These terms and conditions ("Terms") describe the terms on which the Company grants Users access to the EZ Wealth Platform (hereinafter referred to as "Services") and shall be read with the Privacy Policy. The users of the EZ Wealth Platform are herein referred to as "You" or "Users".

Use of the EZ Wealth Platform

The EZ Wealth Platform provides investment information and execution services. The Platform may use the information you provide about your investment profile and risk assessment to make investment recommendations to you in the form of one or more suitable exchange-traded securities available on the Platform for trading or investing. Any advice or information visible on the EZ Wealth Platform is prepared on the basis of information available with the Platform, including data received from third parties and our understanding of assessing risk and suitability in line with your objectives, profile, and requirements as per the details provided by you.

The information on the EZ Wealth Platform is provided solely to enable Users to make their own investment decisions and does not constitute a recommendation to buy, sell or otherwise deal in investments. The Services we offer may not be suitable for all Users. In case of any doubts, you are advised to seek advice from an independent financial adviser. You agree that all investment and disinvestment decisions made using any information provided on the EZ Wealth Platform shall be based on your own evaluation of your financial circumstances.

These Terms apply fully to your use of the EZ Wealth Platform. By using the Platform, you agree to accept all terms and conditions written here. You must not use the Platform if you disagree with these Terms.

In consideration of your use of the EZ Wealth Platform, you represent that you are of legal age to form a binding contract and are not a person barred from receiving Services under the laws applicable in India. You also agree to provide true, accurate, current and complete information about yourself as prompted by the Platform's registration form or any information provided by you by other means of communication.

License to Use

The Company hereby grants you a limited, non-exclusive, non-transferable, revocable right to access, view and use the EZ Wealth Platform only for the purposes of carrying out online trades and transactions. Any rights not expressly granted to you herein are reserved by the Company.

Opening and Operation of the Online Account

Registration to the EZ Wealth Platform may be subject to satisfactory completion of the registration form and submission of all mandatory documents and valid Permanent Account Number ("PAN") and its subsequent verification, including KYC verification through the prescribed KYC Registration Agencies and other intermediaries as required under applicable regulations.

Subject to applicable laws and regulations effective from time to time, Users will be allowed to avail or use fully-operational Services only when the User completes the KYC, investment readiness and information verification process and provides complete personal information in accordance with the Know Your Client guidelines issued by relevant regulatory authorities. Your personal information may be processed, transferred or disclosed to third parties such as SEBI, stock exchanges, depositories, clearing corporations, banks, asset management companies, registrar and transfer agents, and other service providers wherever necessary to enable us to provide Services to you.

Restrictions

You must comply with the laws that apply to you in the location from which you access the Company's Services. If any laws applicable to you restrict or prohibit you from using the Services, you must comply with those legal restrictions or, if applicable, stop accessing and/or using the Services.

Without limiting the generality of the foregoing, you are specifically restricted from:

• Publishing any EZ Wealth Platform material in any other media;
• Transmitting material that encourages conduct that constitutes a criminal offence, results in civil liability or otherwise breaches any relevant laws or regulations;
• Selling, sub-licensing and/or otherwise commercialising any EZ Wealth Platform material;
• Publicly performing and/or showing any EZ Wealth Platform material without the Company's prior written consent;
• Interfering with or disrupting networks or websites connected to the EZ Wealth Platform;
• Using the Platform in any way that is or may be damaging to the Platform or impacts other Users' access;
• Engaging in any data mining, data harvesting, data extracting or other similar activity in relation to the EZ Wealth Platform;
• Collecting or storing any personally identifiable information from the Platform from other Users without their express permission;
• Using the Platform to engage in any advertising or marketing.

Certain areas of the EZ Wealth Platform may be restricted from being accessed by you and we may further restrict access by you to any areas of the Platform at any time in our absolute discretion. Any user ID and password you may have for this Platform are confidential and you must maintain confidentiality as well.

Intellectual Property Rights

Other than the content you own, under these Terms, the Company and/or its licensors own all the intellectual property rights and materials contained in the EZ Wealth Platform. You agree not to remove, obscure, or alter any copyright, patent, trademark, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Platform or Services.

Except as expressly authorized by the Company, you agree not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the materials. The Company reserves all rights not expressly granted under these Terms.

Disclaimer and Limitation of Liability

The EZ Wealth Platform and the Services provided are on an "as is" basis. The Company and its affiliates make no representations or warranties of any kind (express, statutory or implied) as to the operation of the Platform, provision of Services or the information, content, materials, or products included on the Platform, or in association with the Services or any third party websites or services.

To the maximum extent permitted by law, in no event shall the Company, nor any of its officers, directors and employees, be liable for any direct, indirect, consequential or special liability arising out of or in any way related to your use of the EZ Wealth Platform.

Indemnification

You hereby indemnify, to the fullest extent, the Company and its officers, directors, employees and agents from and against any and all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your use or misuse of the Services or any breach of these Terms or applicable laws.

General Provisions

Severability: If any provision of these Terms is found to be invalid under any applicable law, such provision shall be deleted without affecting the remaining provisions herein.

Variation of Terms: The Company is permitted to revise these Terms at any time as it sees fit, and while using the EZ Wealth Platform you are expected to review these Terms on a regular basis. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

Assignment: The Company is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Termination: The Company may remove, restrict, cancel or suspend access to and/or use of the Services if it considers that you have breached any of these Terms. Upon termination for any reason, you agree to immediately stop using the EZ Wealth Platform.

Force Majeure: The Company and its service providers shall not be liable for any failure to perform any of their obligations if the performance is prevented, hindered or delayed by a Force Majeure Event, including events beyond reasonable control such as natural disasters, war, civil commotion, strikes, internet outages or changes in law.

Governing Law & Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of India and shall be subject to the exclusive jurisdiction of the competent courts of Mumbai, India.
